1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Efficiti LLC ("Efficiti," "we," "us," or "our") regarding your use of our energy data analysis services (the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

2. Description of Services

Efficiti provides energy data analysis services by accessing your utility data through authorized, secure data sharing. Our Services include:

Retrieving authorized energy usage data from your utility provider
Analyzing consumption patterns and trends
Providing insights and recommendations for energy optimization
Generating reports based on your historical usage data

3. Authorization and Consent

To use our Services, you must authorize Efficiti to access your utility data through your utility's secure data sharing portal. This authorization:

Is granted by you directly through your utility's secure authorization system
Can be revoked by you at any time through your utility account
Is limited to the specific data types and time periods you select
Does not grant us access to your utility account credentials

You represent that you have the legal right to authorize access to the utility account data you connect.

4. Data Use and Ownership

Your Data: You retain ownership of your utility data. We are granted a limited license to access and process this data solely to provide the Services you request.

Our Use: We will not sell, rent, or otherwise monetize your utility data to third parties. We will not use your data for advertising or marketing purposes unrelated to our Services.

Aggregated Data: We may use anonymized, aggregated data for analytical and research purposes, provided that such data cannot reasonably be used to identify you.

5. Security and Confidentiality

We implement and maintain appropriate technical and organizational security measures to protect your data, including:

Encryption of data in transit and at rest
Access controls and authentication requirements
Regular security assessments and monitoring
Compliance with applicable data protection laws and utility requirements

We are bound by a Data Security Agreement with Con Edison that governs our handling of your confidential utility information.

6. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EFFICITI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

We do not guarantee the accuracy of utility data provided by third parties, nor do we guarantee specific energy savings or outcomes from our recommendations.

7. Termination

You may stop using our Services at any time by revoking authorization through your utility's secure data sharing portal. Upon revocation, we will cease accessing your data and will delete your data in accordance with our Privacy Policy.

We may suspend or terminate your access to the Services if we believe you have violated these Terms or applicable law.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

9. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a revised last updated date. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
